& Delivery
Unless
expressly agreed to by Cordant in writing, customers may select the method of
shipment of and the carrier for the Goods. Cordant’s manufacturer/distributor
will deliver the products to customers using Cordant’s manufacturer's standard
methods for packaging and shipping. Cordant is not liable for any loss or
damage arising from any delay in filling any order, failure to deliver, or
delay in delivery. Title to and risk of loss for products pass to
customer upon delivery to the carrier.
Delivery dates
are estimates only and are not guaranteed.
Force
Majeure
The term
"force majeure" shall include, without limitation by the following
enumeration: acts of nature, acts of civil or military authorities,
terrorism, fire, storms, accidents, shutdowns for purpose of emergency repairs,
road or transportation route shut downs, epidemic, pandemic, act of government,
industrial, civil, or public disturbances, or any other causes which are not
within the reasonable control of the party affected, in each case causing the
inability to perform the requirements of an order. If any party is
rendered unable, wholly or in part, by a force majeure event to perform or
comply with any obligation or conditions for the order, upon giving notice and
reasonably full particulars to the other party, such obligation or condition
shall be suspended only for the time and to the extent commercially practicable
to restore normal operations. In the event the Contractor ceases to be
excused pursuant to this provision, then the “Client/Cordant’s Customer” shall
be entitled to exercise any remedies otherwise provided from these terms,
including termination of the order.
Third-Party
Payment Processing
Payments made
through the Company’s online store are processed by secure third-party payment
processors. Cordant Health Solutions does not store or maintain customers’ full
credit card or banking information. By submitting payment information, customer
acknowledges that payment processing services are provided by third parties and
are subject to the applicable terms and privacy policies of those providers.
Cordant Health Solutions is not responsible for errors, interruptions, security
breaches, or other issues caused by third-party payment processors except as
required by applicable law.
Returns
& Replacements
Customers must
inspect all products when they are received. Customers have accepted the
products unless company notifies Cordant in writing within 10 days of delivery
of the products, and furnishes written evidence or other documentation as
reasonably required by Cordant, that the products (a) are damaged, defective,
or otherwise do not conform to the product specifications or (b) were delivered
to customer as a result of Cordant’s error. If customer notifies seller
pursuant to this section, then Cordant may determine, at its sole discretion,
whether to repair or replace the products or refund the price for the products.
Customers may be responsible for shipping, at their expense, all products to be
returned, repaired, or replaced under this section to Cordant’s designated
location. If Cordant exercises its option to replace the Products, Cordant may,
after receiving customer 's shipment of the products, ship to customer, at
Cordant’s expense, the replacement products to customer at customer’s original
location of delivery. Customers acknowledge and agree that the remedies set out
in this section are exclusive of all other remedies for rejected products.
Except as otherwise provided here, all sales of goods to customers under this
section are made on a one-way basis and customer has no other right to return
goods purchased.
EXCEPT AS
EXPRESSLY PROVIDED HEREIN, PRODUCTS ARE PROVIDED ‘AS IS’ AND CORDANT DISCLAIMS
ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND
NON-INFRINGEMENT.
Ordering
By submitting
an order, the customer agrees that all information provided, including product
selection, quantities, shipping details, billing and payment information are
accurate and complete. The Customer is responsible for maintaining authorized
users on its account and accepts full responsibility for all orders placed
under its account credentials. All orders are subject to acceptance, product
availability, and current pricing at the time of processing. The Company
reserves the right to reject, limit, or delay any order at its discretion.
Orders will be
processed in accordance with applicable payment terms. The Company may withhold
or delay fulfillment for accounts with outstanding balances or credit concerns.
Requests to modify or cancel orders must be made promptly and are subject to approval.
Orders that have already been processed or shipped may not be modified or
canceled.
The customer is
responsible for providing accurate shipping information and ensuring the
ability to receive deliveries at their arrival location. Cordant is not liable
for delays or issues resulting from incorrect or incomplete information on a
customer’s account.
The customer
agrees to comply with all applicable laws and requirements related to the
purchase and use of the Company’s products. Cordant reserves the right to
suspend or refuse orders for non-compliance or breach of these terms.
Payment, Pricing & Promotions
Customers are
required to remit payment in full, including applicable shipping charges, at
the time of order placement unless alternative payment terms have been
expressly agreed upon in a written agreement between the customer and Cordant
Health Solutions.
For customers
operating under approved invoicing terms, Cordant reserves the right to assess
a late fee of one and one-half percent (1.5%) per month, or the maximum rate
permitted by applicable law, on any outstanding balance not received within
fifteen (15) days following the invoice due date.
All product and
shipment pricing are subject to change at Cordant sole discretion. In the event
a valid, written pricing agreement is in place between the customer and the
Company, the terms of such agreement shall govern for the duration specified
therein..
A surcharge
amount is automatically applied on products due to raising energy costs, fuel
costs, and handling logistics costs within the United States of America and its
territories until further notice.
Handling Fees applied are as follows:

Credit card payments are subject to a 3% charge at checkout for all orders.

Forensic Use
Only Agreement
Devices labeled
as FORENSIC USE ONLY (FUO) are NOT for IN VITRO DIAGNOSTIC
(IVD) use and may not be used for medical or diagnostic purposes. A FORENSIC
USE ONLY product MAY NOT be used in a clinical setting to diagnose or identify
diagnosis or identify ailments, dependency or illness.
Forensic Use
Only devices are intended for use in drugs of abuse testing for law enforcement
purposes only. Products labeled for FORENSIC USE ONLY are tests that have not
been cleared by the U.S. Food and Drug Administration (FDA) through the Section
510(k) pre-market notification process. FORENSIC USE ONLY devices are not
designed, tested, developed, or labeled for use in other settings, such as
clinical diagnostics or other non-law enforcement settings which fall outside
of the scope of FDA’s intended exercise of enforcement discretion for Forensic
Use Only products.
In the United
States of America, FORENSIC USE ONLY products may only be sold to companies or
agencies associated with the criminal justice system. These agencies include,
but are not limited to, all law enforcement, corrections, probation, courts,
jails, and government agencies such as the Coast Guard, Department of Defense,
Navy, Air Force, Army and Marines and laboratories or other establishments
performing forensic testing for these entities.
Products
Labeled as FORENSIC USE ONLY must NOT be distributed for “At Home” or “Over the
Counter” use in the United States and its territories.
By purchasing
products marked as FORENSIC USE ONLY from Cordant Health Solutions, customer
acknowledges that as the customer, they meet the requirements described above
and confirm that products labeled as FORENSIC USE ONLY will be used as ‘FOR
FORENSIC USE ONLY’, i.e., for law enforcement testing.
Updating
Account Information
The customer is
responsible for maintaining accurate, complete, and current account information
within the Cordant’s product ordering system at all times, including but not
limited to billing and shipping details, contact information, authorized users,
payment information, and any applicable licensing or regulatory credentials.
The customer
agrees to promptly update any changes to such information and, in all cases,
within five (5) business days of such change. All orders will be processed
based on the information provided at the time of submission, and Cordant or is
affiliates shall not be liable for any delays, mis deliveries, billing errors,
or other issues resulting from inaccurate or outdated account information.
The customer is
solely responsible for managing authorized users and ensuring that access to
the ordering system is limited to appropriately authorized personnel. Failure
to maintain accurate account information may result in declined transactions,
service delays, or suspension of account access. The Company reserves the right
to suspend or restrict services where account information is incomplete,
inaccurate, or non-compliant with applicable requirements.
